The Sustainable Development Committee was established by the Board of Directors of Mega Securities to promote sustainability-related matters. The Committee is responsible for the planning and submission of short, medium and long-term sustainable development goals and action plans to the Board for approval, to provide effective supervision of sustainability initiatives. Sustainability-related internal audits and compliance and risk management measures are developed under the supervision of the Mega Securities Board of Directors. Sustainability-related bylaws and material actions for promoting sustainability are also disclosed through the Sustainability Report, Annual Report, or corporate website to keep stakeholders up to date on developments at the Company. Suppliers, customers and investees are invited to join in the building of a sustainability ecosystem through the promotion of sustainable development and initiatives.
Mega Holdings Sustainable Development Committee (First Level of Governance Structure)
Mega Financial Holding Co., Ltd., the parent company of Mega Securities, established the Corporate Social Responsibility Committee (now renamed the Sustainable Development Committee) at the end of 2013. The Chairperson of Mega Financial Holding serves as the Committee Chairperson, with five independent directors serving as committee members. The Committee is responsible for reviewing the Group's annual ESG plans and strategic directions, as well as monitoring and evaluating the implementation of ESG projects and initiatives across the Group. In principle, the Committee convenes on a quarterly basis, and meeting minutes are submitted to the next Board of Directors meeting.
The President serves as the Chief Sustainability Officer (CSO), overseeing and supervising the Group's sustainable development affairs. Six working groups have been established under the Committee, covering Environmental Sustainability, Sustainable Finance, Customer Commitment, Employee Care, Social Prosperity, and Corporate Governance. Mega Financial Holding is responsible for coordinating and managing these groups. Each subsidiary within the Group has designated ESG personnel, working groups, or committees, with the President of each subsidiary serving as the convener and overseeing the implementation of subsidiary-related initiatives under the Group's ESG policies and objectives.
The Chief Sustainability Officer convenes Executive Meetings of the Sustainable Development Committee every two months. These meetings are attended by Mega Financial Holding's Executive Vice Presidents, department heads, representatives of the working groups, and presidents of subsidiaries, who report on implementation progress and results. This mechanism enables timely tracking of progress and effective oversight of the Group's sustainability-related issues.
